Agreement This agreement applies to all services furnished by “A Home for Seniors”.This Web site is offered to the Client conditioned upon your acceptance of this Agreement without modification, and your use of this Web site constitutes your agreement to and acceptance of this Agreement. This is a yearly renewable agreement, renewing at the then current rate, with a minimum commitment of 1 year. All cancellations must be submitted thirty (30) days in advance, in writing and may be cancelled after the first year of the agreement. Payment terms are all payments are to be made in U.S. dollars. TERMS AND CONDITIONS Acceptance - acceptance of all advertising(client listing and web page) by any employee of “A Home for Seniors” is subject to review and approval by the “A Home for Seniors” management in its sole discretion. Copy and Material - “A Home for Seniors” reserves the right to revise or reject for any reason at its sole discretion any text submitted. “A Home for Seniors” liability for damages resulting from errors in any advertising that it publishes or from its failure to publish any advertisement that it has agreed to publish shall be limited to the amount it actually received in consideration for its agreement to publish the website in question. The “A Home for Seniors” shall not be responsible for any special, incidental, or consequential damages suffered by any party resulting from its errors or omissions.  Hold Harmless - The customer accepts all liability for the content of all text or photos supplied by it. The Customer warrants to “A Home for Seniors” that its copy is true, that it is not libelous or defamatory, that it violates no rights of privacy, that it infringes no trademark, copyright, literary or other rights, nor constitutes unfair competition with any other party and that it complies with all Federal, State and Local laws and regulations. The Customer agrees to defend, indemnify, and hold harmless “A Home for Seniors”of any and all claims, demands, liability, suits costs or expenses, arising by reason of the publication of the listing and web page or breach of the foregoing warranty, whether such claims are well grounded or not.  Inability to perform - Neither party shall be required to perform any term or condition so long as such performance is delayed or prevented by computer, telecommunications, or other system outages, or force majeure, which shall mean acts of God, strikes, lockouts, material or labor restrictions by the government authority, civil riot, floods, and any other cause not reasonably within the control of the performing party and which, by due diligence, such party is unable, wholly or in part to prevent and overcome. Payment - Customer agrees to pay all amounts to “A Home for Seniors” upon the date of receipt of the invoice/statement. If payment is not received within thirty (30) days after receipts of invoice/statement for any charges, “A Home for Seniors”may, at its discretion, cancel the Customer's future advertising(listing and web page) and charges for all prior advertising by the Customer will become immediately due and payable, in addition to other charges and legal costs provided herein. Following thirty (30) days written notice, “A Home for Seniors” may modify fees, and Customer shall pay fees unless Customer exercises its right to terminate this contract by providing “A Home for Senior’s”written notice within thirty days of “A Home for Senior’s”notice. Applicable Law - This Agreement and all actions contemplated hereby shall be interpreted and construed in accordance with the laws of the Commonwealth of Oregon applicable to contracts made and to be performed entirely within the Commonwealth of Oregon and without giving effect to its rules or principles regarding conflict of laws.  Attorney and Collection Fees - If for any reason payment is not made in full when due, the Customer agrees to pay any and all attorney and collection fees and any court costs incurred by “A Home for Seniors”.  Acceptance of this agreement allows “A Home for Seniors” to communicate with Advertiser via fax, telephone, email and U.S. mail for any reason during the term of this agreement and following the termination of agreement.
